Dealer Agreement

TERMS

The Dealer is not permitted to sell to other resellers such as dealers, distributors or OEMs. No protection shall be provided for such unauthorized channels.
The Dealer will provide first-level technical support to their Cansec customers.
The Dealer agrees to promote Cansec products for new systems.
The Dealer will buy at 40% off MSRP.
The Dealer must achieve sales of $12,000 in each full year of the agreement (Jan 1 to Dec 31).
Credit limits are subject to yearly review.
The Dealer agrees to purchase adequate sales demo and service spare equipment.
Product can be returned within 3 months of purchase subject to a restocking fee of 20% (unopened and in original condition).
Product returned after 3 months but no later than 6 months will be subject to a 30% restocking fee (unopened and in original condition).
Product which was ordered 6 or more months earlier cannot be returned.
A credit will be applied to The Dealer's account, less the applicable restocking fee, for returned product.
It is the responsibility of The Dealer to ensure that any product returned is accompanied by the proper completed RMA form found on the Cansec website.
Custom encoded cards, fobs, etc. cannot be returned unless Cansec supplied product that is not what was ordered.
Products available for sale to The Dealer are limited to those found in the current Cansec Price Book (MAP1, SmartLock, and accessories).
This agreement is valid until December 31 of the year in which it is signed. Renewal is subject to review by Cansec. The minimum annual sales target will be prorated based on the sign-up date.
Either party may terminate this agreement by giving 30-days' written notice.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, each party will indemnify, defend and hold harmless the other and the other’s agents and employees from and against any and all third-party claims, damages, demands, actions, judgments, liabilities, penalties, citations, injuries, losses and expenses, including but not limited to attorneys’ fees and court costs arising out of or related to its negligence in performing as a result of this agreement.To the fullest extent permitted by law, each party will indemnify, defend and hold harmless the other and the other’s agents and employees from and against any and all third-party claims, damages, demands, actions, judgments, liabilities, penalties, citations, injuries, losses and expenses, including but not limited to attorneys’ fees and court costs arising out of or related to its negligence in performing as a result of this agreement.In no event will Cansec Systems Ltd. be liable for incidental, consequential, indirect, special or punitive damages including, but not limited to, loss of use of Dealers’ products and services, loss of profits, loss of revenue, interest, lost goodwill, work stoppage, impairment of other goods, loss by reason of shutdown or non-operation, increased expenses of operation or claims of business partner’s customers or suppliers, whether based on contract, warranty, tort (including, but not limited to, strict liability or negligence) or otherwise, even if advised of the possibility of such damages.
